Scope of Corporate Finance Advisory Services:

  • Assist the Company with the review of a number of going public transactions including an IPO, and/or a Reverse Takeover Transaction (the “Going Public Transaction Vehicle”) and provide the Company with strategic advice for completing a transaction.
  • Assist the Company in identifying and qualifying a Going Public Transaction Vehicle, establishing and negotiating a corporate share structure with the Going Public Transaction Vehicle and contemporaneously advise on the amount and timing of a financing into the resulting issuer.
  • Assist the Company with consulting services including: the preparation of all presentation materials; review of audited financial statements; review and provide advice on all contracts and agreements.
  • Assist the Company with both interfacing and complying with the appropriate regulatory authorities.
  • Assist in determining listing requirements.
  • Draw upon internal and external professional advisors when and if appropriate for tax, legal, regulatory and cross jurisdictional matters. This will include recommendations for additions to the management team and/or the board or directors.
  • Conduct site visits if appropriate.
  • Providing on-going corporate, managerial, and fiscal advice.
  • Provide an opinion that the Company meets the requirements and specifications for an appropriate transaction. (Sponsorship covered separately)
  • Provide advice when appropriate on the valuation of the assets of the Company including an opinion of the Company’s valuation through a third party valuator to substantiate asset value.(if required)
  • Recommend follow-on financing or other financing solutions.
  • Assist the Company in analyzing and evaluating the business, operations and financial position of the Company, including assessments of M&A and Joint-venture opportunities.
  • Recommend Corporate Governance initiatives.
  • Recommend IR and PR structures and initiatives.
  • Assist the Board with representations to regulatory bodies and listing requirements.
  • Assist the company with adding additional talent and expertise at the operating, management.
  • Assist the company in adding experienced & qualified Board of Directors.
  • Assist in finalizing compensation plans for key employees.
  • Assist in finalizing option grant programs for all qualified employees.
  • Join the company as a senior consultant and or director post the public event.
